Association By-Laws
SECTION
ONE
Article
I - Name
The name of this organization shall be the Loma Alta Neighborhood Association, herein after referred to as LANA, originally established in 1952 as the Loma Alta Club, reestablished in 2004.

II - Purpose
The purpose of LANA is to seek to preserve and improve the quality of life in the neighborhood and to provide support in all matters of neighborhood concern.

IV – Membership Criteria and Dues
All resident homeowners, living within the area described in Section 1, Article III are eligible for membership in LANA.
In order to be a voting member dues of twenty five dollars ($25.00) are payable at the beginning of June of each year. Dues are to be used for the support of authorized activities including but not limited to reimbursement for supplies, website costs, printing costs and such other activities or items as the Membership deem desirable. Voluntary dues will not be pro-rated.
Non-voting members of the group will be called Supporting Members and shall pay $10.00.

VI - Organizational Structure
Officers:
LANA Members will annually elect board members who will represent LANA for a one- (1) year term. Officers will include the President, a Vice-President and a Secretary/Treasurer.
LANA members will annually elect 4 at-large board members. Board members shall be elected by obtaining a simple majority vote of LANA Members in accordance with guidelines set out in Article II and III.

VI.1 - Duties of Officers and Board Members
The President, Vice-President and Secretary/Treasurer shall be the Executive Committee. The Executive Committee may make emergency decisions and expenditures between meetings of LANA.
The President shall:
Preside at all meetings of LANA general membership and shall be an ex-officio member of all
committees. Shall draft meetings agendas, solicit ideas and comments from the Membership about neighborhood matters and shall suggest policy for LANA.
Cosign all checks drawn on the account of LANA. Be the primary spokesperson of LANA, have the right to approve all statements made on behalf of LANA, and be required to report his or her LANA activities at the next meeting of the LANA membership.
The Vice President - Will preside at LANA meetings when necessary due to the absence of the President.
The Secretary/Treasurer: Shall assist and support activities related to finance, including
but not limited to, account record keeping, fund deposit and withdrawals, and other related business management with respect to fundraising. Shall cosign all checks drawn on the account of LANA. Shall give the status of all accounts and transactions not less than a quarterly basis to the Membership. Shall record minutes of the Membership meetings and any committees that are formed. Recording may be assigned to another person as desired. Shall report to the board on which resident homeowners are entitled to vote, checking against the dues roll. Written records shall be lodged at the residence of the President. The Secretary/ Treasurer and/or the President shall maintain control over the LANA checkbook and related financial materials. The Membership shall authorize all major expenditures and may annually set an amount which may be expended by the Secretary/Treasurer without such authorization.
Board members- At-Large:
Shall assist and support activities related to the Officers and as assigned by the President.
Board Duties:
All Board members shall perform neighborhood outreach and generally be resource persons for the Membership, shall assist and support activities related to information dissemination, including telephone trees, newsletter publication, web page and other media. Shall assist and support activities related to the Association as ambassadors, assist with neighborhood-wide social events, neighborhood outreach, and attendance before the Oceanside City Council, Planning Commission, or other similar bodies as needed.
In the event that the President or Vice-President are unable to preside over the meeting, the Secretary/Treasurer shall preside. If he or she is unavailable, then one of the board members may preside.
Committees may be formed as follows, but are not limited to the following:
Zoning and Land Use
Community Safety
Traffic and Nuisance Abatement
Elections
Neighborhood Ambassadors/Block Captains
Committees shall consist of LANA members, a chairperson appointed by the LANA President and ratified by the Membership and any at-large, advisory members outside of the community who might add instructional or informational support to the committee. Only members will be entitled to vote.
SECTION 2
Article
I - Meetings and Organization
Meetings of the LANA general membership may be held monthly but not less than once a year in June, to be scheduled on such date and time as a majority of the residents may agree. Special meetings may be called by the Officers if the meeting concerns matters of an urgent or emergency nature.
The fiscal year of LANA shall run from June 01 to May 31.

II - Voting
You must be a Voting Member resident homeowner (per Section 1, Article IV) in the specified area to vote (per Section 1, Article III) and there will be only one vote per residence. Voting Members present at any LANA Membership meeting shall be entitled to vote. LANA members must be 18 years of age or older, or be legally emancipated, in order to vote.
Quorum:
In all cases where official positions and policies are being established, a quorum shall be necessary for the transaction of LANA business.
In no case shall a quorum be constituted with less than twenty-five (25) members present.

II.2a - Motions from the Membership Meeting
Floor:
The President or when not available, the Vice-President shall entertain motions during a Membership meeting from the Membership floor at his or her discretion. The President or Vice-President shall not deny the presentation of such motion but will have the discretionary power to postpone voting on the motion to another Membership meeting at which such time the motion must be heard and voted upon.

III - The Election Process
Election Date:
The initial officers, by general acclamation the Members are as follows: Greg Root, President, Edward Burns, Vice-President, and Nadine L. Scott, Secretary/Treasurer.
Subsequent elections will be held at the Membership meeting in June of each year. If Voting Members are unable to attend the Membership meeting due to medical or other emergency reasons, written ballots as prepared by the Election Committee and approved by the Board shall be accepted as though the Member was in attendance at the Membership meeting. Ballots shall be collected at such date and time as the Election Committee may determine, but no later than the date and time of the Membership meeting where the election will be held. Staffing of the election process shall be the responsibility of the Election Committee. The Election Committee shall verify eligibility to vote, prepare written ballots, maintain confidential election results and report the results to the Board who will in turn report to the Membership.
Election Committee:
An ad hoc Election Committee, of no less than three persons, shall be convened during the quarter preceding the stated date of elections to prepare for and conduct the nominations and balloting process. The Election Committee shall maintain election results confidential and report to the Board. The Election Committee shall be selected by the President with the concurrence of the Membership.

IV - Board/ Officer Candidate Eligibility
Age:
Each candidate must be 18 years of age or older.
Residency:
Each candidate must own and occupy a residence within the boundaries established in Section 1, Article III.
Term Limits:
There shall be a three-year term limit for board members in any position, with eligibility re-established after one year to run for the same position. This does not preclude an officer from running for an at-large position after the term limit nor does it exclude an at-large member from running for an Officer position.
Filing:
Each candidate must file for election according to the guidelines developed by the Election Committee.

V - Duties of Neighborhood Ambassadors
Any Member may become a Neighborhood Ambassador. Neighborhood Ambassadors shall assist the board on a voluntary basis, with the primary duties being notification to membership of meeting dates and times as well as the tentative agenda items to be discussed. Ambassadors will also assist with neighborhood-wide events, should attend all functions of the LANA and should represent the official policy of LANA.

VI - Resignation/ Replacement/ Removal from Office
Resignations:
Any LANA officeholder should give four (4) weeks written notice before a resignation becomes effective. The resignation notice will be addressed to the President of the Board.
Removal from Office:
Any LANA officeholder may be removed from a position for cause, meaning he or she is not furthering the stated purposes and objectives of LANA or has some other factor rendering them unable to serve, by two-thirds of the Membership present providing that notice has been furnished to the membership at least two weeks prior to the Membership meeting where the removal will be discussed and voted upon.
Further, a board member may be removed by the board for failure to attend at least 2/3 of all regular Membership meetings and board meetings.
Replacement of Officers:
When necessary, vacant offices shall be filled at any meeting by the Board for the unexpired portion of the term. This officer must be approved by a majority of the quorum present at the next general meeting.

VII - Parliamentary Authority
When not inconsistent with these by-laws, Robert's Rule of Order Newly Revised shall be the parliamentary authority for all matters of procedure. These rules may be suspended at any meeting by a majority vote.

VIII - Prohibitions
The identity of individual LANA members shall be confidential and may not be released without their permission. Elected and appointed board and committee membership waive this confidentiality and release provision in order to facilitate communication. Neighborhood rosters shall not be sold, traded or bartered for any commercial purpose.
LANA shall not contribute funds to any candidate for political office nor shall any such candidate be endorsed on its website.

IX - Adoption/ Amendment of Bylaws
These bylaws may be amended at any LANA general membership meeting by a two-thirds majority vote of a quorum present, provided that the amendment(s) has been submitted in writing to the membership at the previous meeting.
These bylaws shall become effective upon approval of two-thirds of the LANA Members present at the LANA general meeting where the bylaws are presented.

X - Dissolution
In the event of dissolution, LANA's assets, after payment of debts, will be distributed to an organization which is tax exempt under the provisions of Section 501(c)(3) of the Internal Revenue Code.
